1. Services

Egma ("Egma", "We", "Us", or "Our") is a product of Outlier Humans Inc that provides phone AI for medical spas, helping them capture missed calls, answer patient inquiries, and book appointments automatically using voice AI technology. Our Services are powered by large language models (LLMs) and other artificial intelligence technologies. These Terms and Conditions ("Terms") govern your access to and use of our websites, applications, APIs, and all related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree with these Terms, you may not access or use our Services.

2. User Obligations

As a user of our Services, you agree to the following obligations:

• You must be at least 18 years of age to use our Services.
• You are responsible for safeguarding your account credentials, including your username, password, and any API keys.
• You shall not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying technology of our Services.
• You shall not use our Services for any illegal, unlawful, or unauthorized purpose.
• You shall not attempt to gain unauthorized access to our Services, other user accounts, or connected systems.
• You shall not sublicense, sell, resell, transfer, or otherwise commercially exploit the Services without our prior written consent.
• You shall not interfere with or disrupt the integrity or performance of our Services.
• You are responsible for ensuring that your use of outputs generated by our Services complies with all applicable laws and regulations.

3. License

Subject to your compliance with these Terms, Egma grants you a restricted, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our Services solely for your internal business purposes during the term of your subscription or account.

Egma retains all intellectual property rights in and to the Services, including all software, algorithms, models, interfaces, documentation, trademarks, logos, and other proprietary materials.

4. Fees and Payments

Our Services are offered on a subscription basis. By subscribing to a paid plan, you agree to pay the applicable fees as described at the time of purchase.

• Recurring Billing: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
• Non-Refundable: All fees are non-refundable unless otherwise stated in writing by Egma.
• Dispute Window: If you believe there is an error in your billing, you must notify us within 3 days of the charge date.

5. Use of AI Output

You are solely responsible for the use of any output, call transcripts, booking confirmations, or other content generated by Egma's phone AI ("Output"). You acknowledge that:

• Output may not always be perfectly accurate. AI-generated responses may contain errors or inaccuracies.
• Human review is strongly advised for critical medical or business decisions.
• Egma does not provide medical advice. Our phone AI assists with scheduling and general inquiries only.

6. Confidentiality

You agree not to disclose any confidential information belonging to Egma, including proprietary technology, business plans, and pricing information, to any third party without prior written consent.

7. Indemnification

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, EGMA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

You agree to indemnify and hold harmless Egma, Outlier Humans Inc, and their respective officers, directors, employees, and affiliates from any claims arising out of your use of the Services or violation of these Terms.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EGMA'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU DURING THE 12-MONTH PERIOD PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS HIGHER.

8. Term and Termination

These Terms are effective upon your first use of our Services. You may terminate at any time by discontinuing use and cancelling your subscription. Egma reserves the right to suspend or terminate your access at any time, with or without cause.

9. Governing Law

10. Changes to These Terms

Egma reserves the right to modify these Terms at any time. Material changes will be communicated via our website or email. Continued use after changes constitutes acceptance of the revised Terms.
